Re: [asciidoc-wg] AsciiDoc WG Steering Committee Meeting, September 14, 2021

The language from the AsciiDoc charter regarding designation of a proxy is as follows:

" In the event a Body member is unavailable to attend or participate in a meeting of the Body, they may be represented by another Body member by providing written proxy to the Body’s mailing list in advance, and which shall be included in determining whether the representative is in Good Standing."

So you do have it right Dan... "But if they are only voting on your behalf, then maybe that's not the right way to look at it. Rather, they are voting for you by proxy."

Formal ballots (if any) are expected to be on the published agenda ahead of the meeting so that provides the runway for a Steering Committee member to establish their voting position and communicate it to their proxy.

Ah, you're right about Abel. I spoke too soon.

There seems to be some confusion between a proxy and a delegate, a confusion which I now share. To me, it wouldn't make any sense to designate another SC member as it means that member can vote twice. In that case, the person would have to be a non-member. But if they are only voting on your behalf, then maybe that's not the right way to look at it. Rather, they are voting for you by proxy. But I would think that would only apply for votes you already know about (meaning you are submitting your vote in advance). But there's no need to worry about that because, at the moment, we don't plan to have any votes in this meeting. If that changes, and we know there is a vote coming, then perhaps having Guillaume vote for you by proxy will work after all.

-Dan

Hi Dan,

oh, I thought a proxy would need to be a SC member.

I wonder: Abel is with VMware, therefore I don't consider him an independent committer, as VMware is (as a company) a member of the WG and they have their own representative in the SC.

Is that a blocker here?

Alexander

Alexander,

Thank you for alerting us to the fact that you'll be unavailable for the upcoming meeting and for designating a proxy. However, the problem is that Guillaume is already a member of the SC, so he's not available to be a proxy. Can you choose another delegate? My recommendation would be Abel.

Best Regards,

Hi Lisa,

unfortunately I'll be unable to participate in the upcoming SC meeting.

I'll transfer my vote to Guillaume as my proxy for the meeting on Sep 14 2021. He's a committer member as well, and he's in "good standing" as he participated in three out of four previous meetings. This should help the committee to reach the quorum if necessary.

This transfer to him as a proxy doesn't come with instructions how to vote on any agenda point, he may vote as he sees fit.

Best,
Alexander

All interested parties outside of the Steering Committee members are welcome to join as observers. You can find the Zoom meeting information at the bottom of this email.

If a representative of a Partner Member cannot attend the meeting, please make arrangements to send a delegate. If a quorum of members object to the date and time in advance, we'll adjust it.

The agenda for the meeting will be populated prior to the meeting. Once the meeting has concluded, the minutes will be sent to this list for approval. If you're scheduled to give an update at the meeting, please come prepared to deliver that update or let us know in advance if you're unable to do so.
