what version of uDig are you using?
There where a problem creating the prj when exporting a shapefiles in the 1.1 release. This is solved now with the new release.
Is that that you mean for not georeferenced?

For the dbf table... really don't know. Try to delete the fix and qix files and reopen it also in uDig to check where is the problem. Remember that you should reload the shapefile in the udig catalog after deleting those files, if you would see the update shapefile.

I think that this things are well explained in the walkthrough2 (I don't remember exaclty if the 1 or 2).
